Michael has more than 20 years of experience providing tax advice covering German and international tax law with a focus on corporate and real estate taxes, M&A tax and tax accounting. He also performed audits of single entities and consolidated financial statements in accordance with German GAAP and IFRS.
He assisted mid-sized “Mittelstand” companies, family owned businesses and corporate groups of different sizes and from various industries.
Michael provides advice in buy-side and sell-side M&A transactions throughout all stages of a process. His buy-side expertise covers the upfront analysis of a target including setting up an initial tax concept for the acquisition, the execution of tax due diligence and support regarding the drafting of tax provisions in purchase agreements. He also assists in conceiving the final tax structure and supports the post-merger integration process from a tax perspective.
In sell-side projects he performs initial tax related analyses in preparation of an envisaged disposition, prepares vendor due diligence reports and tax fact books and also supports in negotiations with potential buyers covering tax related topics.
Furthermore, Michael provides tax advice to clients in the context of tax audits dealing with past transactions.
Michael studied business administration at the University of Cologne with a focus on business taxation, tax law und corporate finance. Michael also completed a vocational education as tax clerk (Steuerfachangestellter) and an advanced training as tax specialist (Steuerfachwirt).
